Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and ESPARSITY LTD ("Company," "we," "us," or "our"), governing your use of the Sheryaan service ("Service").

ESPARSITY LTD is a company registered in England and Wales (Company Number: 16989086) with its registered office at 128 City Road, London, EC1V 2NX, United Kingdom.

By accessing or using Sheryaan, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

Description of Service

Sheryaan is an AI-powered WhatsApp booking assistant designed for medical clinics in Iraq and the Middle East. Our Service enables:

• For Patients: Book medical appointments through natural WhatsApp conversations in Arabic
• For Clinics: Automate appointment scheduling, manage bookings, and reduce administrative workload

The Service includes the AI booking assistant, clinic dashboard, and related features.

Eligibility

To use Sheryaan, you must:

• Be at least 18 years old, or have parental/guardian consent
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under applicable laws

If you are using the Service on behalf of a clinic or organization, you represent that you have the authority to bind that entity to these Terms.

User Accounts

For Clinics

Clinics must register for an account to use Sheryaan. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access
• Accept responsibility for all activities under your account

Account Security

You are responsible for maintaining the confidentiality of your account information. We are not liable for any loss or damage arising from unauthorized access to your account.

Acceptable Use

You agree NOT to use Sheryaan to:

• Violate any applicable laws or regulations
• Infringe on the rights of others
• Transmit harmful, offensive, or inappropriate content
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Use the Service for any purpose other than legitimate medical appointment booking
• Misrepresent your identity or affiliation
• Collect or harvest user information without consent

Medical Disclaimer

• We do not provide medical advice, diagnosis, or treatment
• We do not verify the qualifications of healthcare providers
• We are not responsible for the quality of care provided by clinics
• In case of medical emergency, contact emergency services immediately

The relationship between patients and healthcare providers is solely between those parties. Sheryaan facilitates scheduling only.

Fees and Payment

For Clinics

Clinic subscriptions are billed according to the plan selected at registration. By subscribing, you agree to:

• Pay all fees associated with your selected plan
• Provide accurate billing information
• Authorize recurring charges as applicable

Fees are non-refundable unless otherwise stated or required by law.

Price Changes

We reserve the right to modify our pricing. We will provide at least 30 days' notice before any price increase takes effect.

Intellectual Property

Our Property

Sheryaan, including its design, features, content, and technology, is owned by ESPARSITY LTD and protected by intellectual property laws. You may not:

• Copy, modify, or distribute our Service
• Reverse engineer or attempt to extract source code
• Use our trademarks without permission
• Remove any copyright or proprietary notices

Your Content

You retain ownership of any content you submit through the Service. By submitting content, you grant us a license to use, store, and process that content as necessary to provide the Service.

Privacy

Your use of Sheryaan is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy at sheryaan.com/privacy.

Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance
• System updates
• Technical issues beyond our control
• Force majeure events

We will make reasonable efforts to notify users of planned maintenance.

Limitation of Liability

To the maximum extent permitted by law:

• Sheryaan is provided "AS IS" without warranties of any kind
• We do not guarantee the accuracy or reliability of the Service
• We are not liable for any indirect, incidental, or consequential damages
• Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim

This limitation applies regardless of the legal theory under which liability is claimed.

Indemnification

You agree to indemnify and hold harmless ESPARSITY LTD, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit through the Service

Termination

By You

You may stop using Sheryaan at any time. Clinics may cancel their subscription according to their plan terms.

By Us

We may suspend or terminate your access to the Service if:

• You violate these Terms
• You fail to pay applicable fees
• We are required to do so by law
• We discontinue the Service

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive.

Dispute Resolution

Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

Jurisdiction

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Informal Resolution

Before filing any formal legal action, you agree to contact us and attempt to resolve the dispute informally for at least 30 days.

Changes to Terms

We may modify these Terms at any time. We will notify users of material changes by:

• Posting the updated Terms on our website
• Sending notice through the Service or email

Your continued use of Sheryaan after changes take effect constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ESPARSITY LTD regarding the Service and supersede all prior agreements.
